Fair market value (FMV)
is a theoretical concept based upon a cash transaction with the
parties negotiating in their own self-interest and in possession of
the pertinent facts.
Business interests
have several values based upon the circumstances, and the investment
value considering synergies may be higher for a buyer than the value
as a going concern to the seller (a form of intrinsic value).
The purpose of a valuation determines the standard of value
to be applied. A judge
in a tax case might instruct the appraiser to find FMV, while a
seller might be interested in knowing the investment value to a
buyer in the same industry.
Our most popular
service is finding investment value for a seller with a transaction
structured most favorable for the seller’s net cash proceeds and
tax treatment. This
evaluation then becomes the basis for financial and tax planning by
